Website & Digital Marketing Services Agreement
Last updated: September 19, 2026
This Website & Digital Marketing Services Agreement ("Agreement") is entered into as of the date Client completes checkout and payment (the "Effective Date"), between:
Provider: HTX Local Growth Digital, located at 1000 Main St, Houston, TX 77002 ("Provider"), and
Client: the business or individual who submits payment through Provider's checkout process ("Client").
Provider and Client may each be referred to individually as a "Party" and together as the "Parties."
1. Services
Provider will design, build, host, and maintain a website for Client, along with the additional services included in Client's selected plan ("Plan"), for as long as Client's subscription remains active. The Plans, and what each includes, are:

- Instant lead alerts by text when a visitor submits Client's form
- Automatic confirmation email to Client's customer on form submission

- Digital ad campaign management (ad spend starts at $500/month, billed separately from this Agreement and set by mutual written agreement on budget)
- Dedicated growth strategy and custom reporting
Services not listed under Client's Plan are not included unless agreed to separately in writing.
2. Fees and Payment
Client will pay Provider a recurring monthly fee based on Client's selected Plan — $37/month (Hosting), $97/month (Growth), or a custom monthly rate agreed in writing (Elite) — billed automatically each month starting on the Effective Date. There is no setup fee and no long-term contract — this Agreement continues on a month-to-month basis until cancelled under Section 3. Ad spend under the Elite Plan is billed separately from the monthly Plan fee.
If Client wants to change Plans, the new monthly fee applies starting with the next billing cycle.
If a payment fails, Provider will attempt to notify Client and may suspend services (including taking the website offline) if payment is not resolved within seven (7) days.
3. Term and Cancellation
This Agreement begins on the Effective Date and continues month-to-month until either Party cancels. Client may cancel at any time by providing written notice (email is sufficient); cancellation takes effect at the end of the current billing period, and Provider does not refund partial months already billed.
Provider may cancel this Agreement or suspend services with reasonable written notice if Client fails to pay fees when due or otherwise breaches this Agreement.
4. Website Ownership
While Client's subscription is active, Client may use the website and its content for its business. Provider retains ownership of the website design, code, and hosting for the duration of the subscription. Upon cancellation, the website will be taken offline unless Client purchases a transfer/buyout at Provider's then-current rate.
5. Revisions and Additional Work
Minor updates during the first thirty (30) days after launch are included at no additional charge. After the first month, small informational edits, such as updating a business name, phone number, email address, or other minor text changes, remain free at any time. All other Client-requested revisions are billed at $45/hour, in 30-minute increments, and invoiced monthly along with the subscription fee.
6. Client Responsibilities
- Providing accurate business information, logos, photos, and copy needed to build and maintain the site
- Reviewing and approving website content before it goes live
- Promptly notifying Provider of any errors, outages, or requested changes
7. Limitation of Liability
To the maximum extent permitted by law, Provider's total liability under this Agreement is limited to the fees paid by Client in the three (3) months preceding any claim. Provider is not liable for indirect, incidental, or consequential damages, including lost profits or lost business, arising from the website or services provided under this Agreement.
8. Confidentiality
Each Party agrees to keep confidential any non-public business information shared by the other Party in connection with this Agreement, and to use it only to perform its obligations here.
9. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.
10. Entire Agreement
This Agreement, together with any order form or statement of work signed by both Parties, is the entire agreement between the Parties regarding its subject matter and supersedes any prior discussions or agreements. This Agreement may only be modified in writing signed by both Parties.
11. Acceptance
By checking the box at checkout and completing payment, Client agrees to be legally bound by this Agreement in full, in place of a physical or electronic signature.
